Terms of Service for the Amivox Mobile Service (The "Terms Of Service") CAREFULLY READ THESE TERMS OF SERVICE BEFORE USING ANY AMIVOX SERVICE. These Terms of Service create a binding legal agreement between you and Amivox Limited and its suppliers and its licensors (collectively "we", "our" or "us"). By using the Web Site, the Amivox Mobile Service (the "Service"), using our software or other products, or allowing anyone to do so with your equipment you signify your irrevocable acceptance of these Terms of Service. IF YOU DO NOT AGREE TO ALL OF THESE TERMS AND CONDITIONS, YOU SHOULD NOT USE THE AMIVOX WEBSITE NOR DOWNLOAD, INSTALL OR USE AMIVOX SOFTWARE OR ANY UPGRADE THERETO NOR MAKE USE OF ANY AMIVOX SERVICES. If you reside in a jurisdiction which restricts the ability to enter into agreements such as this according to age and you are in such a jurisdiction and under such age limit, you may not enter into these terms and download, install or use the Software. By entering into this Agreement you verify that your use of the Software is allowed. This Agreement is entered into between Amivox and you, or the organisation that you represent. REGISTRATION You agree that the information you supply during the registration process will be true, accurate and complete and that you will not register under the name of another person. You will be responsible for preserving the confidentiality of your chosen password. You shall notify us of any known or suspected unauthorized use(s) of your account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your Password. You shall be responsible for maintaining the confidentiality of your Password. Any fraudulent, abusive, or otherwise illegal activity is grounds for termination of your account and the Service, at our sole discretion, and you may be reported to appropriate law-enforcement agencies. You agree to indemnify, defend and hold harmless Amivox, its affiliates, and their officers, directors, employees, agents, licensors and suppliers, from and against any and all liabilities, fines, losses, expenses and damages resulting from the supply of any information during the registration process which is not true, accurate and correct or arising from your failure to update such information as required or from any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing your Amivox account. GRANT OF LICENCE Amivox grants you a non-exclusive and non-transferable license to use the Software on the terms and conditions set out in this Agreement. You agree not to exploit the Software for commercial gain under any circumstances, and agree to use it for your own private or business communication purposes only. You agree not to copy, modify, translate or create derivative works based on the Software, nor reverse assemble, de-compile or reverse engineer the Software, whether in whole or in part, or otherwise attempt to derive any source code subject to Amivox's copyright, nor shall you permit, whether directly or indirectly, the sale, lease, sub-license, transfer or assignment of the Software; nor shall you remove or alter any proprietary notices, logos or labels on or in the Software or front end user interface. DESCRIPTION OF SERVICE With our software you will be able to chat with voice and text messages with other Amivox users, send SMS messages and place phone calls over our network, send email messages, and chat with your existing contacts that are using your existing Instant Messaging services. To start using the Service you will need to install our Amivox software in your mobile phone, which is free to download. While using the Service you will use wireless data and hence you may incur data charges from your wireless mobile service provider, Internet service provider or telephony provider. We have no affiliation with, or responsibility for, any of those third parties. You will need to have entered into separate agreements with them for their services and products. You alone are responsible for all charges or fees charged by such third parties for your use of their services. Amivox does not provide emergency services that connect a user to emergency services personnel or public safety services or answering points. To access emergency services, you understand that it is your responsibility to use traditional wireless or fixed line services that offer emergency services. CHARGES AND COMMERCIAL TERMS The Amivox software is provided to you as a free download. Charges for making use the Service are located online. Prices and rates for the Service may be varied from time to time and without prior notice. You have the right to have a purchase refunded within seven days of concluding a transaction where you have not already commenced using the service. You are entirely responsible for any and all activities that occur on your Amivox account and you shall be strictly liable for all charges debited against your account whether or not these charges are incurred by you or any other person, authorised or unauthorised, intentionally or unintentionally, or as a result of any virus, hack or security breach. We reserve the right at any time to charge fees for access to portions of the Service or the Service as a whole. However, in no event will you be charged for access to the Service unless we obtain your prior agreement to pay such charges and we give you reasonable advance notice to cancel the Service. The fees may be payable via a prepaid account set by the user or via a monthly subscription. If you elect not to pay any fees charged by us, we will have the right to cease providing the Service to you. INFORMATION SECURITY & PRIVACY In order to operate the Software, you will be required to provide your mobile telephone number (including your country code) and set your own password. You agree to notify Amivox in writing of any unauthorized and/or fraudulent use of your User ID (mobile telephone number) or password. You agree to indemnify, defend and hold harmless Amivox, its officers, directors, employees, affiliates and agents and any other service provider who furnishes services to you in connection with the Software, from any and all claims, losses, damages and expenses by, or on behalf of, you or any third party for any unauthorized or fraudulent use of Your User ID or password. RESPONSIBLE USE OF AMIVOX SOFTWARE AND SERVICES You will not use the Service to send, save, collect, distribute or transmit any Content that: ? is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable; ? may harm minors in any way; ? may manipulate identifiers in order to disguise the origin of any Content transmitted through the Service or the source of any Content; ? you do not have a right to make available under any law or under contractual or fiduciary relationships; ? is unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation; ? download, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or telephone handset equipment (mobile or otherwise); ? interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of our networks connected to the Service; or ? may violate or infringe any right of any third party. ADVERTISING AND THIRD PARTY LINKS You consent to the placement by Amivox of third party advertisements, logos, icons and hyperlinks on the Software user interface and Amivox website. You acknowledge and understand that by clicking on such advertisements, logo's, icons or hyperlinks you may activate and run other web applications or content downloads and or be directed to advertisers websites or other communications channels, including the automatic dialing of advertisers telephone contact numbers and you grant your consent thereto. We may provide links to other sites that we feel are relevant and interesting to our users ("Link Sites"). We are not responsible for the content on the Link Sites and are not responsible for the accuracy of the information and intellectual property notices therein. Some of these Link Sites may provide you with opportunities to purchase products ("Products"). We do not endorse any of the Products nor do we make any representations or warranties in connection with the Products. We do not monitor or control the Content. For clarity, Content does not include technical information regarding usage, data traffic, call logs or other similar information that we may monitor. We do not guarantee the use, accuracy, integrity or quality of any Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. LIABILITY AND INDEMNITY Amivox shall not be liable for any delay, failure, breakdown, damage, loss, cost, claim, penalty, fine or expense arising from use of the Software or the Service; operator error on the part of you; any fault in the hardware, third party software or software supplied to or obtained by you from any entity other than Amivox; the intentional or negligent act or omission of any person not being a duly authorised employee, sub-contractor, agent of Amivox or any third party not authorised to act in terms of this agreement; and the actions, omissions or service interruptions of any utilities provider or third party service provider, including a telecommunications service, electrical service or a supplier of a telecommunications or electrical service, VoIP service, electronic communications service provider or electronic communications network service provider. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE USE OF THE SERVICE IS AT YOUR SOLE RISK. WE EXPRESSLY DISCLAIM, AND YOU HEREBY WAIVE, ALL WARRANTIES, REPRESENTATIONS AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERUPTED, TIMELY, SECURE, VIRUS FREE OR ERROR FREE, OR THAT ANY ERRORS IN THE SOFTWARE OR SERVICE WILL BE CORRECTED. ANY CONTENT SENT, TRANSMITTED OR OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO ANY COMPUTER SYSTEM, MOBILE TELEPHONE, MOBILE WIRELESS DEVICE OR DATA THAT RESULTS FROM THE USE OF THE SERVICE. NO ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM US, OUR EMPLOYEES, OFFICERS, DIRECTORS, AGENTS OR REPRESENTATIVES SHALL CREATE ANY WARRANTY OR CONDITION NOT EXPRESSLY STATED IN THESE TERMS OF SERVICE. IN NO EVENT ARE WE BE LIABLE FOR ANY DIRECT, CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER OR FOR DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERUPTION, COMPUTER FAILURE, LOSS OF DATA OR BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF THESE TERMS OF USE OF THE SERVICE, THE USE OR INABILITY TO USE THE SERVICE, THE MODIFICATION, SUSPENSION OR DISCONTINUATION OF THE SERVICE, YOUR ACCOUNT INFORMATION, ANY CONTENT SENT, RECEIVED, STORED OR DISTRIBUTED VIA THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH US RELATED TO THE SERVICE SHALL BE CANCELLATION OF THE SERVICE. IF A COURT AWARDS ANY DAMAGES DESPITE THE FOREGOING LIMITATIONS OF LIABILITY IN THIS TERMS OF SERVICE, SUCH DAMAGES FOR ANY AND ALL CLAIMS UNDER THIS TERMS OF SERVICE SHALL NOT IN THEIR AGGREGATE, IN ANY CIRCUMSTANCE, EXCEED THE AMOUNT YOU PAID FOR THE SERVICE. IN NO EVENT SHALL AMIVOX BE LIABLE FOR SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR DELICTUAL DAMAGES SUFFERED BY YOU ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, INCLUDING LOSS OF DATA, LOSS OF PROFITS OR LOSS OF BUSINESS, AND INCLUDING WITHOUT LIMITATION ANY SUCH DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE OR ANY AMIVOX SERVICE, UNAUTHORISED USE OF YOUR USER ID OR PASSWORD, THE MARKETING, DELIVERY, INSTALLATION, FURNISHING, MAINTAINING, HOSTING OR SUPPORTING OF THE SOFTWARE BY AMIVOX OR ANY PERSON APPOINTED BY IT, THE PERFORMANCE OF THE SOFTWARE, AND WHETHER OR NOT YOU WERE AWARE OR ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. It is understood and acknowledged by you that the Software and Services are not intended to ensure, nor does Amivox warrant, compliance with any common law, statutory or regulatory requirement or obligation to which you may be subject in your own jurisdiction. Use of the Software and services is entirely at your risk. YOU INDEMNIFY AND HOLD AMIVOX HARMLESS AGAINST ANY CLAIM BY ANY THIRD PARTY RELATING TO ANY MALFUNCTION OF THE SOFTWARE OR ARISING OUT OF THE USE OF THE SOFTWARE OR SERVICE BY YOU. AMIVOX SHALL FURTHERMORE HAVE NO LIABILITY TO YOU OR ANY THIRD PARTY FOR ANY BREACH OF A LEGAL OBLIGATION AS SPECIFIED ABOVE TO WHICH YOU OR ANY THIRD PARTY MAY BE SUBJECT. TRADEMARK "Amivox" is a trademark of Amivox Limited. All rights in the marque are reserved to Amivox Limited. WHOLE AGREEMENT This Agreement constitutes the whole agreement between Amivox and you and no agreements, representations or warranties between the parties other than those set out herein or incorporated by reference are binding on the parties. WAIVER & SEVERABILITY Any failure by Amivox to exercise or enforce any right or provision of this Agreement shall in no way constitute a waiver of such right or provision. In the event that any of the terms of this agreement are found to be invalid, unlawful or unenforceable, those terms will be severable from the remaining terms, which will continue to be valid and enforceable. RIGHT TO TERMINATE OR MODIFY THE TERMS OF SERVICE AND THE SERVICE This Terms of Service shall terminate at any time that we decide, in our sole discretion. We will advise you of the termination via our web page. This does not limit any of our other rights to terminate under the Terms of Service. At any time, we may modify these Terms of Service upon notice to you by electronic mail, text message or by publishing the changes on our Web site. You may terminate your use of the Service by simply ceasing to use the Service if we modify these Terms of Service. Your continued use of the Service after notice of any change to the Terms of Service will mean that you agree to the amended Terms of Service. At any time and without cost, charge or liability, we may terminate your use or right to use the Service for any reason, including, but not limited to, a failure to comply with these Terms of Service or a failure to comply with any terms or conditions of any other agreement between you and us. At any time and without cost, charge or liability, we may modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice to you.
